The following are terms and conditions of a legal agreement between you and Catalyst 3D its affiliates and partner (collectively, “Catalyst 3D”, “we”, “us” or “our”). These terms and conditions govern your use of the services we offer (“Catalyst 3D Services” or “Services”) and the use of catalyst3d.com (the “Catalyst 3D Website” or “Website”).
By using the Catalyst 3D website and service, you acknowledge to have read, understood and agree to be bound by these “Terms and Conditions” and to comply with all applicable laws and regulations. If you do not agree to these Terms and Conditions, you should not use the Catalyst 3D Services and Website.
Catalyst 3D is committed to protecting the privacy of its customers, and in preventing unauthorized use of any information provided. Your personal information is only used in the administration of your account and in delivering the products and services you have requested from us. Catalyst 3D will not sell, trade, rent, or otherwise distribute any information collected to any 3rd parties.
Estimates are valid for 30 days from date of issue. Production lead-times are based on current capacity. Actual deliveries can be confirmed at time of order. All prices quoted are in British Pounds, GBP. Accepting a quote also implies acceptance to all of Catalyst 3D’s terms and conditions. Catalyst 3D reserves the right to re-quote with any changes to part design or project specification. Orders can take the form of formal purchase orders (preferred), but e-mail and verbal confirmations are also accepted. E-mail and verbal orders are still covered by the same Terms and Conditions.
ALL work carried out, whether experimentally or otherwise, at the customer’s request will be charged.
ALL design work, 3D modelling, visuals, artwork and images produced by Catalyst 3D are owned by Catalyst 3D and are protected by copyright laws, international treaty provisions and other applicable laws. No title to or intellectual property rights to design work, visuals, artwork or images are transferred to you. Catalyst 3D retains the right to refuse/withdraw permission for the use of copyright design work, 3D modelling, visuals, artwork and images produced by Catalyst 3D at any time.
Payment is required in full, before any work or service can proceed, unless otherwise agreed. All parts/materials/files/services remain the property of Catalyst 3D until full payment is received. You must pay the invoice by any due date by either electronic funds transfer or cash, otherwise late payment fees will be applied. If a customer believes that parts supplied are not to specified requirement, goods are to be returned in their as received condition. All deviations are to be submitted, in writing, within 14 days. Responsibility of payment is with the customer and they are solely responsible for payment, regardless of any contract between the customer and third parties. Credit may be denied to those whose balances are not paid within the agreed terms, either temporarily or permanently. Catalyst 3D reserve the right to charge an Account Management Fee on all balances not paid within the above stated terms. The Account Management Fee is 5% per month on outstanding balances with a minimum charge of £50.00. All accounts not paid within 90 days will be passed to our solicitors for further action and the defaulter will be responsible for paying all collection costs and legal fees.
Any query regarding our invoice must be made in writing within 28 days of issue, otherwise no claim will be considered.
All lead-times/delivery/despatch dates are estimated and are in no way guaranteed. Neither Catalyst 3D or any of its agents, employees, representatives or associates shall be liable for any damages, whether direct, indirect, consequential or incidental arising from late or missed deadlines.
Advice of damage, delay or partial loss of goods in transit or of non-delivery must be given within 3 clear days of delivery (or, in the case of non-delivery, within 28 days of despatch of goods) and any claim in respect thereof must be made in writing to Catalyst 3D and the carrier within 7 clear days of delivery (or, in the case of non delivery, within 42 days of despatch). All other claims must be made in writing to Catalyst 3D within 28 days of delivery. Catalyst 3D shall not be liable in respect of any claim unless the aforementioned requirements have been complied with except in any particular case where the customer proves that (i) it was not possible to comply with the requirements and (ii) advice (where required) was given and the claim made as soon as reasonably possible.
Metal, film, glass and other materials owned by Catalyst 3D and used in any part of production shall remain the exclusive property of Catalyst 3D. Such items, when supplied by the customers shall remain the customer’s property. Catalyst 3D is entitled to make reasonable charge for the storage of any customer’s property left with Catalyst 3D before receipt of the order or after notification to the customer of completion of work.
Except in the case of a customer who is not contracting in the course of a business nor holding himself out as doing so, customer’s property and all property supplied to Catalyst 3D by or on behalf of the customer shall while it is in the possession of Catalyst 3D or in transit to or from the customer be deemed to be at the customer’s risk unless otherwise agreed and the customer should insure accordingly.
Catalyst 3D may reject any materials supplied or specified by the customer which appears to him to be unsuitable. Additional costs incurred if materials are found to be unsuitable during production may be charged except that if the whole or any part of such additional costs could have been avoided but for the unreasonable delay by Catalyst 3D in the ascertaining the unsuitability of the materials then that amount shall not be charged to the customer. Where materials are so supplied or specified. Catalyst 3D will take every care to secure the best results, but responsibility will not be accepted for imperfect work caused by defects in or unsuitability of materials so supplied or specified. Quantities of materials supplied shall be adequate to cover normal spoilage.
If the customer ceases to pay his debts in the ordinary course of business or cannot pay his debts as they become due or being a company is deemed to be unable to pay its debts or has a winding-up petition issued against it or being a person commits an act of bankruptcy or has a bankruptcy petition issued against him, Catalyst 3D without prejudice shall (i) have the right not to proceed further with the contract to any other work for the customer and be entitled to charge for work already carried out (whether completed or not) and materials purchased for the customer, such charge to be immediate debt due to him and (ii) in respect of all unpaid debts due from the customer have a general lien on all goods and property in his possession (whether worked on or not), and shall be entitled on the expiration of 14 days notice to dispose of such goods or property in such manner and at such a price as he thinks fit and to apply the proceeds towards such debts.
Catalyst 3D shall not be required to print any matter which appears to be or may be of an illegal or libellous nature or an infringement of the propriety or other rights of any third party. Catalyst 3D shall be indemnified by the customer in respect of any claims, costs and expenses arising out of any libellous matter or infringement of copyright, patent, design or of any other proprietary or personal rights contained in any material printed for the customer. The indemnity shall extend to any amounts paid on a lawyer’s advice in a settlement claim.
Any functioning weapon or parts from weapons will not be printed. Any parts for weapons concealed or disguised as other parts in an attempt to bypass this rule will remain the responsibility of the person(s) who upload the files and they will be held liable for any legal actions as a result of the printing.
Products supplied by Catalyst 3D are prototypes manufactured to customer’s design and specification. In no case shall Catalyst 3D be liable for consequential damages including but not limited to loss, cost, damages or expenses incurred by the customer or any other person on company resulting from the use of the prototype.
The Company can advise on the optimum process for the customer if so required. The Customer agrees to supply a high resolution STL or .3mf file and list any special requirements/fine feature detail. Fused Deposition Modelling (ABS, Polycarbonate, PPSF) +/- 0.127mm up to 127mm and 0.04mm/mm > 127mm
Catalyst 3D shall be under no liability if unable to carry out any provision of the contract for any reason beyond our control including (without limiting the foregoing) Act of God, legislation, war, fire, flood, drought, failure of power supply, lock-out, strike or other action taken by employees in contemplation or furtherance of a dispute or owing to any inability to procure materials required for the performance of the contract. During the continuance of such a contingency the customer may by written notice to Catalyst 3D elect to terminate the contract and pay for work done and materials used, but subject thereto shall otherwise accept delivery when available.
These conditions and all other express terms of the contract shall be governed and construed in accordance with the laws of England.
